The team of EQUES Investment Towarzystwo Funduszy Inwestycyjnych SA declares that it made a decision on implementation of the Corporate Governance Rules for supervised institutions, issued by the Polish Financial Supervision Authority on July 22, 2014. By implementing the rules, the Company will strive to apply the guidelines specified in the Corporate Governance Rules, taking into account the principle of proportionality resulting from the scale, nature and special character of its activities.

The rule expressed in § 8 (4) as regards the possibility of electronic active participation in the meetings of the decision making body. The Company decided not to apply the said rule due to the fact that, in the Company's opinion, the introduction of the rule is disproportionate to the scale, nature of the activities and their special character. The Company's shareholders include only natural persons and due to their small number no problems were identified or are anticipated with respect to the organization of the meeting of the decision making body for all shareholders when and where convenient for everyone.
The rule expressed in § 22 in relation to the criterion of independence of the members of the supervisory body. The Company decided not to apply the said rule due to the fact that, in the Company's opinion, the introduction of the rule is disproportionate to the scale, nature of the activities and their special character.
The rule expressed in § 22 in relation to the audit committee. The Company decided not to apply the said rule due to the fact that, in the Company's opinion, the introduction of the rule is disproportionate to the scale, nature of the activities and their special character. The tasks of the audit committee are performed in full by the Company's Supervisory Board and as of today there are no reasons to change the current status.
